We created FilingView with the goal of empowering traders with critical dilution information that companies often bury in SEC filings.
At the beginning of my trading career, I repeatedly suffered significant losses – not because I didn’t understand the companies, but because I got dumped on with millions of shares created through dilutive securities.
Unfortunately, my story is not unique, and as I talked to more traders throughout the years, I realized that we all had this unnecessarily baptism by fire.
But there was a silver lining.
This shared experience and the resulting conviction of leveling the informational playing field between companies, investment banks, hedge funds and traders ultimately brought our founding team together.
It is our hope that you will find this information useful in your endeavors.
FilingView is an online tool that let’s traders and investors track all sources of relevant dilution on most US listed small caps. Our team of experienced traders provide coverage on over 500 US small caps and carefully dig into each SEC filing to find all potential methods of dilution by the company including Warrants, Convertibles, ATMs, Equity Lines, Shelf Take-downs, and S-1 offerings.
All traders understand that the ultimate driver of price movements is supply and demand. For most mid to large capitalization companies, that supply and demand will come from the selling and buying of other traders/investors with differing views on the company’s outlook. However, for small capitalization stocks under $150m, another major source of supply will be the dilutive issuance of new shares being sold onto the market. This supply is more common in small caps because they are in constant need of raising capital to fund their cash burn intensive businesses such as biotechs or technology startups.
A large supply of new shares will have significant downward pressure on the stock price and can be the determining factor in whether a stock is an all day runner or an all day fader. In fact, many companies will put out positive press releases in the morning with the goal of generating demand so that it can issue new shares. By using FilingView, you will have a better picture of the supply side dynamics and know whether a company can readily dump shares on the market.
