1. Terms

By accessing the website at http://FilingView.com, you are agreeing to be bound by these terms of service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this website are protected by applicable copyright and trademark law.

You agree to read these Terms and Conditions carefully and retain them for future reference. You understand, acknowledge and agree that these Terms and Conditions govern all aspects of my use of the Site and the products and services of FilingView. By clicking “I AGREE” and/or using or accessing the Site, you acknowledge that you have received, read and understood these Terms and Conditions and the Privacy Policy of FilingView.

Additionally, by using or accessing the site, you represent and warrant to us that you: (a) are eighteen (18) years of age or older, (b) are not currently restricted from using the site, or not otherwise prohibited from having an account with us.

2. Creating an Account

Once you create an account with us, you are registered on the FilingView’s site. The terms “member”, “membership, and “account” all refer to this registration as a member on Dilution Tracker’s site. If you are merely surfing or browsing through the Site and have not yet created an account, your use of the site is still subject to this agreement; if you do not agree to this agreement, do not use the site.

When you create an account, you will provide a unique username and email. We will also ask you to create a password. Because any activities that occur under your username or password are your responsibility it is important for you to keep your username and/or password secure. You may not assign or otherwise transfer your account to any person or entity. You acknowledge that Dilution Tracker is not responsible for third party access to your account that results from theft or misappropriation of your account.

Furthermore, the registering party hereby acknowledges, understand and agrees to furnish factual, correct, current and complete information with regards to yourself as may be requested by the data registration process.

If anyone knowingly provides any information of a false, untrue, inaccurate or incomplete nature, FilingView will have sufficient grounds and rights to suspend or terminate the member in violation of this aspect of the agreement, and as such refuse any and all current or future use of FilingView Services, or any portion thereof.

3. Use License

1. Permission is granted to temporarily view information on FilingView’s website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:
   1. modify or copy the materials;
   2. use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
   3. attempt to de-compile or reverse engineer any software contained on Dilution Tracker’s website;
   4. remove any copyright or other proprietary notations from the materials; or
   5. transfer the materials to another person or “mirror” the materials on any other server.

Additionally, you grant FilingView an exclusive, irrevocable, worldwide, perpetual, unlimited, freely assignable and sublicenseable, fully paid up and royalty-free right to use, copy, prepare derivative works of, improve, distribute, publish, remove, retain, add, process, analyze and commercialize, in any way now known or in the future discovered, any information, content, ideas, concepts, techniques, data or suggestions submitted to the Site for the purpose of improving or modifying the Site, or any content, materials or services, or for the purpose of creating or developing new content, materials, services or product related to, arising from or ancillary or similar to the Site, without any further consent, notice and/or compensation to you or to any third parties.

4. Disclaimer

1. The materials on FilingView’s website are provided on an ‘as is’ basis. Dilution Tracker makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.
2. Further, FilingView does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website or otherwise relating to such materials or on any sites linked to this site.
3. No data or content on FilingView shall constitute or be construed as, advice or any recommendation to buy or sell securities, nor any offer, or solicitation of an offer, to buy or sell securities, nor an attempt to influence the purchase or sale of any security. FilingView is not a registered investment adviser with any governmental or regulatory authority.
4. Through your use of the site, you expressly release FilingView, and its directors, officers, shareholders, employees, agents, and affiliates from any liability, claim, loss, cost, expense, and any other damages arising from use of the site. Trading in any security is risky and can result in substantial losses of money invested. Don’t trade with money you can’t afford to lose.

5. Limitations

In no event shall FilingView or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on FilingView’s website, even if Dilution Tracker or a FilingView authorized representative has been notified orally or in writing of the possibility of such damage.

The materials appearing on FilingView’s website could include technical, typographical, or photographic errors. FilingView does not warrant that any of the materials on its website are accurate, complete or current. FilingView may make changes to the materials contained on its website at any time without notice. However FilingView does not make any commitment to update the materials.

FilingView has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by FilingView of the site. Use of any such linked website is at the user’s own risk.

8. Modifications

FilingView may revise these terms of service for its website at any time without notice. By using this website you are agreeing to be bound by the then current version of these terms of service.

9. Termination and Refund

When purchasing subscription, membership or other periodic fee-based services on the Site, a valid credit card will be required for billing purposes. You hereby consent to, acknowledge and allow FilingView to store (or cause a third party to store on behalf of FilingView) such payment information and agree to the following policies and procedures for payment of subscription, membership or other periodic fees related to the Site.

All payments made to FilingView in connection with any product purchased or account or service, and any renewal thereof, are only refundable within 7 days of the initial purchase; and FilingView does not offer, and is not required to provide, any refunds or credits for any reason, including, without limitation, satisfaction or your failure to cancel your account or service prior to its automatic renewal. There is no circumstance in which you will be entitled to, or FilingView is required to provide, a refund or credit for any reason, including, without limitation, satisfaction or your failure to cancel your account or service prior to its automatic renewal.

Upon termination of your account(s) for any reason, your right to use the Services and Software and to access the Site and any of its content will immediately cease and all content in your account(s) will be deleted.

Your account or service may be cancelled, subject to the terms hereof, at any time; provided that, as set forth above, no refunds will be issued if your account or other periodic fee-based service is cancelled prior to the end of the applicable period or term.

10. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of Ontario and you irrevocably submit to the exclusive jurisdiction of the courts in that Province or location.
